Extranet access agreement

1. Purpose

Desjardins Financial Security Life Assurance Company (hereinafter referred to as "DFS") has created various tools to support its sales force and manage various aspects of its daily work, among which this EXTRANET website and the APPLICATIONS.

This agreement governs the access to and the use of the EXTRANET and the APPLICATIONS by the USER. It takes effect from the date of its acceptance by the USER.

2. Definitions

“APPLICATIONS”: All the specific software supporting the professional activities of the USERS, downloadable or not, made available to the USERS through the EXTRANET, including notably but not limited to, CRM and DSign.

"EXTRANET": Restricted-access website to which the USERS have exclusive access in the context of their professional activities, including without limitation, the Webi website, and from which the USERS can access the APPLICATIONS and, as the case may be, download them.

“ONLINE TOOLS”: The glossary, search tools, calculator, FAQ and any other similar tool made available to the USER on the EXTRANET.

"USER": An individual who requests and is granted access to the EXTRANET.

3. Use

THE USER AGREES TO COMPLY WITH THE RULES OF USE AND OTHER LEGAL PROVISIONS RELATED TO THE EXTRANET AND TO THE APPLICATIONS DESCRIBED IN THIS AGREEMENT. HOWEVER, SOME APPLICATIONS MAY BE SUBJECT TO SPECIFIC TERMS AND USES CONDITIONS, WHICH WILL HAVE PRECEDENCE OVER THIS AGREEMENT IN CASE OF CONFLICT. The rules of use and other legal provisions may be amended from time to time by DFS without notice. Accordingly, whenever the USER accesses the EXTRANET, he shall make sure to read and acknowledge this agreement. In addition, at each update of his password, the USER must reconfirm his acceptance to the terms and provisions of this access and usage agreement in order to continue to have access to the EXTRANET and to the APPLICATIONS.

4. Access

To access the EXTRANET and the APPLICATIONS, the USER must use a user ID and a password, which he will have received after registering to the EXTRANET. The USER acknowledges that the use of his user ID and password constitute sufficient proof of his identity and of his consent with respect to this agreement. The USER is responsible for providing valid and up-to-date information regarding his registration and shall contact DFS to have any necessary corrections made.

Access and use of the EXTRANET and the APPLICATIONS are non-exclusive and non-transferable privileges granted by DFS to the USER.

5. Copyright and trademarks

This EXTRANET, the APPLICATIONS, all the information, ONLINE TOOLS and others elements available on or through the EXTRANET are the property of DFS, its subsidiaries, its affiliates or its providers, as the case may be, and are protected by copyright, trademark laws and other applicable laws or rights of intellectual property.

The USER may not copy, reproduce, duplicate or sell, in whole or in part, either part of the Extranet, the Applications or the access to the Extranet. The USER may only copy its content for his own professional use, in the context of his work for DFS. However, no one, including the USER, may redistribute, reproduce, republish, store on any medium, retransmit, or modify, in any way, in whole or in part, the information on this EXTRANET or the APPLICATIONS for any other commercial purpose without the prior written authorization of DFS, or make public use thereof without crediting the source.

All trademarks and logos (including certain names, words, titles, drawings, illustrations and icons) appearing on the EXTRANET or any of the APPLICATIONS are trademarks or registered trademarks of DFS, its subsidiaries, its affiliates or its providers. Any use of these trademarks is strictly forbidden without the owner's prior written authorization. Any unauthorized downloading, retransmission, or other copying or modification of the trademarks and/or the EXTRANET or the APPLICATIONS content may constitute a violation of federal or other laws applying to trademarks and/or copyrights and the perpetrator of these violations could be subject to legal action.

DFS prohibits the use of its logos and registered names as hyperlinks to other websites without its prior written authorization.

6. Content and accuracy of the information

While DFS endeavors to provide in the EXTRANET or the APPLICATIONS the most reliable information possible, it cannot guarantee or ensure the timeliness, accuracy, completeness or authenticity of its content or each of its functions. Without limiting the generality of the foregoing, DFS is not responsible for the accuracy, timeliness, completeness or authenticity of the information contained in the EXTRANET, the APPLICATIONS or the information provided by third parties. The EXTRANET, the APPLICATIONS, along with the information contained therein, are provided for information purposes only, and are subject to change and update at any time without prior notice. All the products and services displayed on the EXTRANET or the APPLICATIONS are subject to the terms and conditions of the applicable agreements governing them.

7. Accessibility and proper functioning of the EXTRANET

Despite all the actions taken to provide proper accessibility and functioning of the EXTRANET and the APPLICATIONS, DFS cannot guarantee that they will meet the USER’s requirements, that access to the site will not be interrupted, for any reason whatsoever, that there will be no delays, failures, errors, omissions or losses of transmitted information or that any virus or other elements may be sent thereby causing damage to the USER’s computer system. The USER accepts all such risks and consequences.


The ONLINE TOOLS can be used for non-commercial purposes only. Use of the ONLINE TOOLS to promote the sale of products or services or a particular website is prohibited. DFS cannot guarantee or ensure the availability, accuracy, timeliness, completeness or authenticity of the ONLINE TOOLS.

The definitions contained in the glossary and the tooltips are for reference purposes only and are intended to be general in nature. They have no contractual value and may differ from the definitions in a contract. Each insurance contract includes specific definitions of the terms used in it.

DFS does not guarantee search tool results.

Likewise, calculations or projected results are provided for general illustrative purposes only and are not guaranteed to be accurate or complete, being based on hypotheses. The default values are provided for illustrative purposes only and solely as a reference. The USER must use them only as guides or estimates.

Answers in the FAQ section along with answers forwarded to website visitors who send in questions are for reference purposes only. They have no legal value and are not binding DFS’ responsibility.

9. DFS liability

DFS, its subsidiaries, its affiliates as well as their directors, officers, employees and advisors will not be liable or responsible to any person for any harm, loss or damage (whether arising from a contract, tort, negligence, or otherwise) that may arise directly or indirectly from the use of the EXTRANET or the APPLICATIONS, including the information they contain and the use of the ONLINE TOOLS, or the inability to use them, or of their malfunction, including any direct, indirect, special, third-party or consequential damages.

10. DFS’ liability pertaining to hypertext links to other websites and downloadable software

Links to other websites or references to products, services or publications other than DFS' are provided only for your convenience and do not imply the endorsement or approval of such websites, products, services or publications by DFS. Such sites and references have been developed independently from DFS; DFS does not perform any verification of such sites and cannot vouch for the timeliness, accuracy, completeness, or authenticity of any site content or functionality or of any such references. Linking to any other site shall be at the USER’s sole risk, and DFS assumes no responsibility for those sites, information and other elements that are displayed or the products and services offered thereon. Links to downloadable software sites are provided for your convenience only, and DFS is not responsible or liable for any difficulties associated with downloading the software.

11. Laws and Jurisdiction

This agreement and the use of the EXTRANET and the APPLICATIONS shall be governed by and construed in accordance with the laws applicable in the province of Quebec. All disputes, controversies or claims arising out of or in connection with the EXTRANET or the APPLICATIONS shall be submitted to and subject to the jurisdiction of the courts of the province of Québec. In the event of any suit, action or proceeding arising out of or in connection with this agreement, or the use of the EXTRANET or the APPLICATIONS, the courts of the province of Québec will have exclusive jurisdiction.

Information from the EXTRANET or the APPLICATIONS regarding DFS’ products and services is intended for use in Canada only, where such products and services may lawfully be offered for use and/or sale, and neither use nor sale is intended where prohibited by law.

12. Password

The USER assumes the entire responsibility for the use of his user ID and password with or without his consent. DFS is not required to confirm the USER's identity or authority if the USER entered the right user ID and password. The USER must take all security measures to keep his user ID and password confidential. He cannot assign his user ID and password to a third party, even on a temporary basis.

THE USER must immediately inform DFS if someone other than him knows his user ID or password. In such event, DFS will block the access to the USER’s personal file until the USER has decided to obtain a new user ID and a new password.

The USER undertakes to indemnify and hold harmless DFS against any action, debt, damages, fees or charges, including legal fees, resulting from the use of the EXTRANET or either of the APPLICATIONS by himself or a third party who works for him.

13. Protection of personal information

The USER undertakes to comply with laws relating to the protection of personal information and privacy. No personal information will be exchanged or used without obtaining, when necessary, all the prior consents required by law.

14. Email

In the case of the Individual network EXTRANET for representatives of Desjardins Financial Security Independent Network and SFL Partner of Desjardins Financial Security, a webmail is integrated to the secure site. Any communications via this email has identification connecting it to the distribution network and, whether it is to be circulated internally or externally, it must be drafted in accordance with the rules and regulations which directly or indirectly govern the distribution of financial products and services and the protection of personal information, notably, the rules concerning ethical issues and the exercising of the USER's duties. In this respect, the USER may not use the email provided for illegal or reprehensible activities, notably large volumes of unsolicited material (spamming), criticisms or defamation, invasion of privacy, chain letters, pyramid schemes, etc.

DFS cannot guarantee the USER that the email service constitutes a method of communication for which confidentiality may be absolutely guaranteed. All the messages transmitted by the USER or by DFS may be lost, intercepted or modified. The USER agrees that the use of the email service is at his own risks and that DFS cannot be held liable for any damage, loss of confidentiality or alteration of any email message sent by the USER, or any such message received by the USER.

15. Control over use

A log is kept by DFS to record events that relate to security or that warrant verification, or for statistical purposes. This log may contain all accesses to the EXTRANET, the APPLICATIONS or their various sections, all communications sent or received by a USER (in the case of email integrated in the EXTRANET), as well as any other activity related to the EXTRANET or the APPLICATIONS.

DFS has access to the communications sent or received through the site, and may access said communications if it has reason to believe that a law has been broken or if the EXTRANET's terms of use have been breached.

16. Access Termination

DFS may terminate the EXTRANET itself or the USER's access to the EXTRANET and the APPLICATIONS at any time without notice. DFS can also terminate the USER’s access immediately in the event of the USER’s failure to comply with the EXTRANET’s terms of use.

Following the termination of the USER’s access to the EXTRANET, the USER shall immediately stop using the APPLICATIONS that he could have downloaded on any computer or other means whatsoever and destroy/uninstall any copy.
